Terms of Use
Effective date: October 24, 2026
Welcome to the website of Pheno Health Group LLC (“Pheno,” “we,” “us,” or “our”), located at phenohealthgroup.com and any related pages, newsletters, or content we publish (together, the “Site”). By accessing or using the Site, you agree to these Terms of Use (“Terms”). If you do not agree, please do not use the Site.
1. Who we are and what this Site is
Pheno Health Group LLC is a Vermont limited liability company providing healthcare operations consulting, organizational readiness advisory services, executive education, and related professional services to organizations. The Site describes our services, shares our perspectives and published insights, and allows you to contact us or subscribe to our content.
2. Not a healthcare provider; no medical advice
Pheno is a consulting firm. We are not a healthcare provider, and nothing on this Site is medical, clinical, legal, financial, or insurance advice. Content on the Site — including articles, newsletters, frameworks, and commentary about the healthcare system — is provided for general informational and educational purposes only. It is not a substitute for advice from a licensed physician, attorney, or other qualified professional who knows your specific situation.
Using the Site, subscribing to our content, or contacting us does not create a provider–patient, attorney–client, or fiduciary relationship. If you have a medical concern, contact a licensed clinician. If you believe you are experiencing a medical emergency, call 911 or your local emergency number immediately.
3. Consulting services are governed by separate agreements
The Site is not an offer to provide services. Any consulting, advisory, or educational engagement with Pheno is governed exclusively by a separate written agreement signed by both parties.
Nothing on the Site creates a binding commitment to provide services, and no engagement exists until such an agreement is executed.
4. Intellectual property
The Site and everything on it — including text, articles, graphics, logos, the Pheno name and wordmark, The Shift Method™ and its associated framework, materials, and names, course content, downloadable materials, and the design and arrangement of the Site — are owned by Pheno or our licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.
You may view, download, and print Site content for your personal, non-commercial use, provided you keep all copyright and proprietary notices intact. You may not copy, reproduce, republish, distribute, modify, create derivative works from, publicly display, sell, or otherwise exploit any Site content — including The Shift Method™ framework and materials — for any commercial purpose, or train or facilitate others using our proprietary frameworks, without our prior written permission.
“Pheno,” “Pheno Health Group,” and “The Shift Method” are trademarks of Pheno Health Group LLC. Other names and marks on the Site belong to their respective owners.
5. Acceptable use
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorized access to the Site, its servers, or any connected systems;
- Scrape, crawl, harvest, or use automated means to collect content or data from the Site without our written permission;
- Introduce viruses, malware, or other harmful code;
- Impersonate Pheno, our personnel, or any other person or entity;
- Use the Site to transmit spam, unsolicited commercial messages, or harassing content;
- Remove or alter any copyright, trademark, or proprietary notice; or
- Interfere with or disrupt the Site or the experience of other users.
We may suspend or terminate your access to the Site at any time, without notice, for conduct we believe violates these Terms or is harmful to Pheno, other users, or third parties.
6. Submissions and communications
If you contact us through the Site, subscribe to our newsletter, or otherwise send us information, you represent that you have the right to share it. Please do not submit protected health information, medical records, or other sensitive personal health details through the Site’s forms or email. The Site is not designed to receive or secure such information, and Pheno is not a HIPAA covered entity with respect to the Site. If a consulting engagement requires the exchange of sensitive information, we will establish appropriate agreements and secure channels for that purpose.
Any ideas, feedback, or suggestions you voluntarily submit about our services or the Site may be used by Pheno without obligation or compensation to you.
7. Third-party content and links
The Site may contain links to third-party websites, services, or content (including, for example, our newsletter platform, social media, or scheduling tools). These are provided for convenience only. Pheno does not control and is not responsible for the content, privacy practices, or availability of third-party sites. Linking does not imply endorsement. Your use of third-party sites is governed by their own terms and policies.
8. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PHENO DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT CONTENT IS ACCURATE, COMPLETE, OR CURRENT. Healthcare laws, regulations, and market conditions change frequently; content on the Site may not reflect the most recent developments.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PHENO HEALTH GROUP LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL PHENO’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Pheno Health Group LLC and its members, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.
11. Governing law and dispute resolution
These Terms are governed by the laws of the State of Vermont, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Site will be resolved exclusively in the state or federal courts located in Chittenden County, Vermont, and you consent to the personal jurisdiction of those courts. Before filing any claim, you agree to first contact us and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
12. Changes to these Terms
We may update these Terms from time to time. The “Effective date” above indicates when the current version took effect. Material changes will be posted on this page. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
13. General
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pheno regarding use of the Site. You may not assign these Terms; we may assign them in connection with a reorganization or sale of our business.
